Welcome to Sound Factory NYC. By accessing our website, purchasing tickets, or participating in our events, you agree to be bound by these Terms of Service.

1. Acceptance of Terms

By using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, please do not use our services.

2. Age Requirement

All Sound Factory NYC events are strictly 21+ only. By purchasing tickets or entering our venue, you represent and warrant that you are at least 21 years of age. Valid government-issued photo ID is required for entry.

3. Ticket Purchases

Purchase Terms

• All ticket and table sales are final - no refunds or exchanges
• Tickets are non-transferable except through official channels
• Prices are subject to change without notice
• Tickets may only be purchased through authorized channels

Table Reservations

• Table reservations require a 20% deposit at time of booking
• Full balance must be paid upon arrival or as specified
• Table minimums may apply
• We reserve the right to reassign tables based on availability

4. Entry and Admission

Right of Admission

Sound Factory NYC reserves the right to refuse admission or remove any person from the premises at any time, for any reason, including but not limited to:

• Failure to meet age requirements
• Violation of dress code
• Intoxication or disruptive behavior
• Security concerns
• Capacity limitations

Dress Code

Proper attire is required. Management reserves the right to determine appropriate dress. Generally prohibited items include:

• Athletic wear, jerseys, or sportswear
• Excessively baggy or torn clothing
• Work boots or construction footwear
• Clothing with offensive language or imagery

5. Conduct and Behavior

Guests must conduct themselves in a respectful manner. Prohibited behaviors include:

• Violence, threats, or aggressive behavior
• Illegal drug use or possession
• Harassment of any kind
• Damage to property
• Unauthorized photography or recording
• Solicitation or commercial activity

6. Partner Program Terms

Eligibility

To participate in our partner program, you must:

• Be at least 21 years of age
• Have a valid Stripe Connect account
• Comply with all applicable laws and regulations
• Not engage in fraudulent or deceptive practices

Commission Structure

• General Admission: $10 per ticket
• VIP Package: $10 per ticket
• 6 Person Table: $240 (20% of $1,200)
• 8 Person Table: $320 (20% of $1,600)
• 10 Person Table: $400 (20% of $2,000)
• 12 Person Table: $480 (20% of $2,400)

Payment Terms

• Commissions are paid via Stripe Connect
• Payments are processed within 7 business days of the event
• You are responsible for all applicable taxes on your earnings
• Sound Factory NYC reserves the right to withhold payment for fraudulent activity

Prohibited Practices

• Spam or unsolicited marketing
• False or misleading advertising
• Use of unauthorized promotional materials
• Impersonation of Sound Factory NYC or its representatives
• Cookie stuffing or other fraudulent referral methods

7. Liability and Disclaimers

Assumption of Risk

By attending our events, you acknowledge and accept the risks inherent in nightclub environments, including but not limited to crowded conditions, loud music, and consumption of alcohol.

Limitation of Liability

To the fullest extent permitted by law, Sound Factory NYC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services or attendance at our events.

Indemnification

You agree to indemnify and hold harmless Sound Factory NYC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your violation of these Terms or your use of our services.

8. Intellectual Property

All content on our website, including text, graphics, logos, images, and software, is the property of Sound Factory NYC and protected by copyright and trademark laws. You may not use, reproduce, or distribute our content without written permission.

9. Photography and Recording

By entering Sound Factory NYC, you consent to being photographed or recorded. These images may be used for promotional purposes. Professional photography and recording equipment is prohibited without prior authorization.

10. Lost or Stolen Items

Sound Factory NYC is not responsible for lost, stolen, or damaged personal property. Please keep your belongings secure at all times.

11. Force Majeure

Sound Factory NYC shall not be liable for failure to perform due to circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, civil unrest, labor disputes, or government orders.

12. Modification of Terms

We reserve the right to modify these Terms of Service at any time. Changes will be effective immediately upon posting to our website. Your continued use of our services constitutes acceptance of the modified terms.

13. Termination

We reserve the right to terminate or suspend your account and access to our services at any time, with or without notice, for any reason, including violation of these Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions.

15. Dispute Resolution

Any disputes arising from these Terms or your use of our services shall be resolved through binding arbitration in New York County, New York, in accordance with the rules of the American Arbitration Association.

16. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Sound Factory NYC regarding your use of our services.
